	Terms of Use Agreement. This document is the Terms of Use Agreement for VitalLease, LLC and describes the terms and conditions on which VitalLease, LLC offers you access to our services. PLEASE READ THIS DOCUMENT CAREFULLY. Definitions (Not to be limited by upper or lower case alphabetic characters.) 1. "Agreement", "Use Agreement", "User Agreement", or "Member Agreement" refers to this "Terms of Use Agreement"; and 2. "We", "us", "vitallease" refers to VitalLease, LLC; and 3. "Site" refers to "www.vitallease.com", "vitallease.com", any of its subdomains, or any associated Secure Socket Layer(SSL) URL address used in providing our services; and 4. "Member", "members", "user", "you" or "your" refers to any and each person or business entity who uses our services, applies for a Member account, or is a designate of any person or business entity who applies for or uses our services; and 5. "Members" with an asterisk next to it refers to the owners of VitalLease, LLC and NOT to the previously defined "Member" in definition number 4. You must read, agree with and accept all of the terms and conditions contained in this Terms of Use Agreement and the Privacy Policy, which include those terms and conditions expressly set out below and those incorporated by reference, before you may become a Member of vitallease.com. If you do not agree to be bound by all the terms and conditions of this Agreement, do not use or access our Site or services. We reserve the right to amend, modify or update this Agreement at any time by posting the amended, modified, or updated terms on the Site. User agrees to periodically consult this website for amendments, modifications or updates to this Agreement. Vitallease may, but is under no obligation to, provide notices of any amendment, modification or update of this Agreement via e-mail to Members. This Agreement may not be otherwise amended except in a writing signed by you and Vitallease, LLC. This Agreement is effective upon acceptance in registration for new registering Members, and is otherwise effective on February 1, 2004 for all users. 1. Membership Eligibility. Our services are available only to, and may only be used by individuals or business entities who can form legally binding contracts under applicable law. Without limiting the foregoing, our services are not available to children (persons under the age of 18 or 21 in some states) or to temporarily or indefinitely suspended vitallease Members. If you do not qualify, do not use or access our Site or services. Further, your vitallease.com account (including all communications and feedback) and Member Username may not be transferred or sold to another party. If you are registering as a business entity, you represent that you have the authority to bind the entity to this Agreement. We, at our sole discretion and at any time, have the right to temporarily or indefinitely suspend or remove any Member, advertisement, property listing, or other use of our services that we deem appropriate. We, at our sole discretion and at any time, also have the right to refuse any and all service or Services to any User whether it be an individual or legal entity. 2. Fees. 2.1 Searching for properties on vitallease.com is free. 2.2 As a promotion, our membership set up fee is currently being waived to new Members. When this promotion is over, we will post the set up fee changes to the Site. 2.3 We do charge fees for listing, re-listing, or extending properties and advertisement banners. You choose the amount of your fees by deciding on and checking the length of time you would like your property listing or advertisement banner to run for. 2.4 When you submit your property listing or advertisement banner, you grant vitallease the right to debit the credit card you provided during registration for the fees you choose. Your listing or banner will be added to our database and become active only upon successful completion of your payment. 2.5 We may change the fees for our services from time to time and these changes are effective immediately after we post them on the Site. We may also choose to temporarily change our fees for promotional events and such changes are effective when we post the temporary promotional event on the Site. 2.6 We may in our sole discretion change some or all of our services at any time. In the event we introduce a new service or product, the fees for that service or product are effective at the launch of the new service or product. 2.7 You are responsible for paying all fees and applicable taxes associated with using our services and the Site and any products you may order on the Site. Full payment is required at the time of ordering. 2.8 All fees for your membership services, property listing services, and advertisement banner services including applicable taxes are non-refundable. However, if you believe you have a legitimate dispute, we highly encourage you to contact us as soon as possible. We, after additional research and at our soul discretion, will do our best to provide a dispute resolution that is satisfactory to both parties to the transaction. The return or refund policy for any tangible products that we may sell in the future will be posted here at the time we start selling those products. 2.9 Any attempted credit card fraud will be prosecuted to the fullest extent of the law. 2.10 Unless otherwise stated, all fees are quoted in U.S. Dollars. 3. Vitallease.com is a listing service. 3.1 Vitallease.com is NOT a real-estate brokerage company. We do not buy, sell, lease or rent real-estate. 3.2 We are NOT an agent for any individual, real-estate brokerage company or other business entity. Instead, the Site acts as a venue to allow anyone to list real-estate for lease or rent, at anytime, from anywhere. We are not involved in the actual transaction between any party (landlord, lessor, business entity, or individual) and another party (tenants, lessee, client, business entity, or individual) for the use and possession of lands, buildings, or property. As a result, we have no control over the truth, accuracy, safety or legality of the property listings. We cannot ensure that any interest party will actually complete a transaction. 3.3 We do NOT endorse or represent any individuals or business entities that advertise products or services, list properties, or links to or from this Site. 3.4 Identity Verification. We may use several techniques to verify the accuracy of the information our users provide us when they register on the Site. However, because user verification on the Internet is difficult, vitallease cannot and does not confirm each user's purported identity. We encourage you to communicate directly with potential business entities or individuals through the options listed on a property listing or advertisement banner and any additional methods that you deem appropriate or necessary. You may also wish to consider using third party service or services that provide specialized legal or real-estate services or any other service you deem appropriate or necessary. 3.5 Release. Because we are a listing service, in the event that you have a dispute with one or more users, you release vitallease (and our members, officers, directors, agents, subsidiaries, and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes. 3.6 Information Control. We do not control the information provided by other users that is made available through our system. You may find other user's information to be offensive, harmful, inaccurate, or deceptive. Please use caution and common sense when using the Site. Please note that there are also risks of dealing with people acting under false pretense. By using this Site, you agree to accept such risks and vitallease is not responsible for the acts or omissions of users on the Site. 4. Listing and Advertising. 4.1 Property Listing Description. Your property listings may only include text descriptions, .jpg, .jpeg or .png picture graphics and other content relevant to that property listing. We do not support the .gif format for photos since the server we use does not support resizing .gif files. 4.2 Regional Advertising Banner Description. Your advertisement banner will only include text. 4.3 National Advertising Banner Description. Your advertisement banner will only include .gif graphics files. We do support the .gif file format here, but you should be aware that you will not be able to upload your file if it does not meet the size requirements listed on the site for the type of advertisement banner you are adding. 4.4 Fraud. Without limiting any other remedies, vitallease may suspend or terminate your account if we suspect that you (by conviction, settlement, insurance or other investigation, or otherwise) have engaged in fraudulent activity in connection with the Site. 4.5 Content Limitations. The use of the Site to store, post, display, transmit, advertise, link to, or otherwise make available ANY type of pornography, gambling, distasteful, immoral or illegal activity is prohibited. All data input is scanned for words that might convey the prohibited activities just mentioned and is removed before being added to our database. 4.6 Rights. Vitallease reserves the right, at our sole discretion, to temporarily or permanently de-activate any listing we feel does not meet the requirements listed in this Terms of Use Agreement and there will be absolutely no refund of fees paid. Vitallease will notify law enforcement agencies when it becomes aware of the presence of child pornography on, or being transmitted through, the Site and will immediately suspend your account. 5. Your Information. 5.1 Definition. "Your Information" is defined as any information you provide to us or other users in the registration, listing, or advertising process, the contact us or contact Member area, through any email feature, or any other method in which you communicate with us. You are solely responsible for Your Information, and we act as a passive conduit for your online distribution and publication of Your Information. 5.2 Restricted Activities. Your Information (or any property listing or advertisement banner) and your activities on the Site shall not: (a) be false, inaccurate or misleading; (b) be fraudulent or involve the lease or rental of property, to which your do not own or are not legally responsible for or the advertisement of or for services which you are not legally permitted to perform; (c) infringe any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy; (d) violate any law, statute, ordinance or regulation (including, but not limited to, those governing export control, consumer protection, unfair competition, antidiscrimination or false advertising); (e) be defamatory, trade libelous, unlawfully threatening or unlawfully harassing; (f) be obscene or contain child pornography; (g) contain any viruses, Trojan horses, worms, time bombs, cancelbots, easter eggs or other computer programming routines that may damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information; (h) create liability for us or cause us to lose (in whole or in part) the services of our ISPs or other suppliers; and (i) link directly or indirectly to or include descriptions of goods or services that: (aa) are prohibited under this Agreement; (bb) you do not have a right to link to or include. Furthermore, you may not list any property or advertisement banner on the Site (or consummate any transaction that was initiated using our service) that, by paying to us the listing fee or the final value fee, could cause us to violate any applicable law, statute, ordinance or regulation. 5.3 License. Solely to enable vitallease to use the information you supply us with, so that we are not violating any rights you might have in that information, you agree to grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable (through multiple tiers) right to exercise the copyright, publicity, and database rights (but no other rights) you have in Your Information, in any media now known or not currently known, with respect to Your Information. Vitallease will only use Your Information in accordance with our Privacy Policy. 6. Access and Interference. Much of the information on the Site is updated on a real time basis and is proprietary or is licensed to vitallease by our users or third parties. You agree that you will not use any robot, spider, scraper or other automated means to access the Site for any purpose without our express written permission. Additionally, you agree that you will not: (i) take any action that imposes, or may impose in our sole discretion an unreasonable or disproportionately large load on our infrastructure; (ii) copy, reproduce, modify, create derivative works from, distribute or publicly display any content (except for Your Information) from the Site without the prior expressed written permission of vitallease and the appropriate third party, as applicable; (iii) interfere or attempt to interfere with the proper working of the Site or any activities conducted on the Site; or (iv) bypass robot exclusion headers or other measures we may use to prevent or restrict access to the Site. 7. Breach. Without limiting other remedies, we may limit your activity, immediately remove your property listings or advertisement banners, warn our community of your actions, issue a warning, temporarily suspend, indefinitely suspend or terminate your membership and refuse to provide our services to you if: (a) you breach this Agreement or the documents it incorporates by reference; (b) we are unable to verify or authenticate any information you provide to us; (c) we believe that your actions may cause financial loss or legal liability for you, our users or us; (d) we believe (at our sole discretion) that your actions or information are not beneficial, appropriate, or honest to our community or our Members. If vitallease is forced to terminate your membership in the service because you have breached the Agreement, you will NOT be entitled to any refund of unused setup, service, listing or advertising fees. 8. Privacy. We do not sell or rent your personal information to third parties for their marketing purposes without your explicit consent and we only use your information as described in the Privacy Policy. We view protection of users' privacy as a very important principle. We understand clearly that you and your information is one of our most important assets. We store and process your information on computers located at the premises operated by our web hosting service provider. Our current Privacy Policy is available at http://www.vitallease.com.com/legal/privacy-policy.html. If you object to your Information being transferred or used in this way please do not use our services. 9. No Warranty. We, our members, officers, directors, employees, subsidiaries, and our suppliers provide our web site and services "as is" and without any warranty or condition, express, implied or statutory. We, our members, officers, directors, employees, subsidiaries, and our suppliers specifically disclaim any implied warranties of title, merchantability, fitness for a particular purpose and non-infringement. This warranty gives you specific legal rights and you may also have other legal rights that vary from state to state. 10. Liability Limit. In no event shall we, our members, officers, directors, employees, subsidiaries or our suppliers be liable for lost profits or any special, incidental or consequential damages arising out of or in connection with our site, our services or this agreement (however arising, including negligence). Our liability, and the liability of our members, officers, directors, employees, subsidiaries and suppliers, to you or any third parties in any circumstance is limited to the amount of fees you paid to us in the 12 months prior to the action giving rise to liability. 11. Indemnity. You agree to indemnify and hold us and (as applicable) our parent, subsidiaries, affiliates, members*, officers, directors, agents, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of this Agreement or the documents it incorporates by reference, or your violation of any law or the rights of a third party. 12. Legal Compliance. You shall comply with all applicable domestic and international laws, statutes, ordinances and regulations regarding your use of our service and listing or advertising. 13. No Agency. You and vitallease are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement. 14. Notices. Except as explicitly stated otherwise, any notices shall be given by postal mail to VitalLease, LLC. Attn: Legal Department, PO Box 1082, Orem, UT 84059-1082 (in the case of vitallease.com) or to the email address you provide to vitallease.com during the registration process (in your case). Notice shall be deemed given 24 hours after email is sent, unless the sending party is notified that the email address is invalid. Alternatively, we may give you notice by certified mail, postage prepaid and return receipt requested, to the address provided to vitallease during the registration process. In such case, notice shall be deemed given 3 days after the date of mailing. 15. Resolution of Disputes. In the event a dispute arises between you and vitallease, our goal is to provide you with a neutral and cost effective means of resolving the dispute quickly. Accordingly, you and vitallease agree that any claim or controversy at law or equity that arises out of this Agreement or use of our services and/or Site shall be resolved in accordance with one of the subsections below or as otherwise mutually agreed upon in writing by the parties. Before resorting to these alternatives, we strongly encourage you to first contact us directly to seek a resolution and we will consider reasonable requests to resolve the dispute through alternative dispute resolution procedures, such as mediation, as an alternative to litigation. 15.1 Binding Arbitration. For any claim (excluding claims for injunctive or other equitable relief) where the total amount of the award sought is less than $2,500, you or vitallease.com may elect to resolve the dispute through binding arbitration conducted by telephone, on-line and/or based solely upon written submissions where no in-person appearance is required. In such cases, the arbitration shall be administered by the American Arbitration Association in accordance with their applicable rules, or any other established ADR provider mutually agreed upon by the parties. Any judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. 15.2 Court. Alternatively, any claim may be adjudicated by a court of competent jurisdiction located in Utah County, Utah, and will be governed by the laws of the State of Utah without regard to its conflict of law provisions. You and vitallease agree to submit to the personal jurisdiction of the courts located within Utah county, Utah. 15.3 Alternative Dispute Resolution. Alternatively, vitallease will consider use of other alternative forms of dispute resolution, such as binding arbitration to be held in Utah County, Utah or another location mutually agreed upon by the parties. All Claims (excluding requests for injunctive or equitable relief) between the parties must be resolved using the dispute resolution mechanism that is selected in accordance with this Section by the first party to file a Claim. Should either party file an action contrary to this Section 15, the other party may recover attorneys' fees and costs up to $1000, provided that the party seeking the award has notified the other party in writing of the improperly filed Claim, and the other party has failed to withdraw the Claim. 16. Additional Terms. Our Privacy Policy is incorporated into this Agreement by reference and provide additional terms and conditions as it relates to user privacy. This Privacy Policy may be changed from time to time and is effective immediately after we post the changes on the Site for new users and thirty days after posting for existing users. In addition, when using particular services on the Site, you agree that you are subject to any posted policies or rules applicable to services you use through the Site, which may be posted from time to time. All such posted policies or rules are hereby incorporated by reference into this Agreement. 17. Force Majeure VitalLease will not be liable for failure or delay in performing it obligations if such failure or delay is due to circumstances beyond its reasonable control, including but not limited to acts of any governmental body, war, insurrection, sabotage, embargo, fire, flood, strike or other labor disturbance, interruption of or delay in transportation, unavailability of, interruption or delay in telecommunications or third party services (including DNS propagation), failure of third party software or hardware or inability to obtain raw materials, supplies or power used in or equipment needed for provision of the Services. 18. General. This Agreement shall be governed in all respects by the laws of the State of Utah as such laws are applied to agreements entered into and to be performed entirely within Utah between Utah residents. We do not guarantee continuous, uninterrupted or secure access to our services, and operation of the Site may be interfered with by numerous factors outside of our control. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. You agree that this Agreement and all incorporated agreements may be automatically assigned by vitallease in accordance with Section 14 "Notices", in our sole discretion, Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches. This Agreement sets forth the entire understanding and agreement between us with respect to the subject matter hereof. Sections 2 (Fees and Services) with respect to fees owed for our services, 3.5 (Release), 5.3 (License), 6 (Access and Interference), 10 (Liability Limit), 11 (Indemnity) and 15 (Resolution of Disputes) shall survive any termination or expiration of this Agreement. 19.
